A leading global pharmaceutical company embarked on a transformative journey to spin off its consumer healthcare division into an independent, publicly listed business.
  • The objective was to create two distinct organisations with focused strategies:
  • A dedicated biopharma company, concentrating on specialty medicines and vaccines
  • A consumer healthcare business, home to a portfolio of category-defining power brands
  • This strategic move aimed to unlock shareholder value, sharpen operational focus, and create a platform for accelerated growth on both sides of the separation.

The challenge

  • Separation of Shared Corporate Functions: Corporate services, back-office operations, and IT systems were deeply intertwined and required precise disentanglement and reallocation.
  • Ownership Transfers of Key Manufacturing Sites: Physical assets, including major manufacturing plants, needed to be transitioned from the pharma to the consumer entity without disrupting production.
  • Global Licensing & Regulatory Compliance: Product licenses, market authorisations, and regulatory approvals had to be transferred efficiently and compliantly across diverse jurisdictions.
  • Business Continuity: All activities, from supply chain operations to customer service, had to continue uninterrupted throughout the transition.
  • ERP Cloning & IT Transformation: The existing ERP systems, deeply embedded in the pharma ecosystem, had to be cloned, reconfigured, and stood up independently for the new entity.
  • Localised Complexities in LATAM: Brazil and other LATAM countries presented unique challenges due to complex tax structures, regulatory frameworks, and operational dependencies.

Our approach

  • Helixr played a key role in enabling the smooth separation of the consumer healthcare business, supporting the client across several critical streams. Our approach combined strategic oversight with hands-on delivery in the following areas:
  • Global Separation & Integration Planning - Developed and managed end-to-end separation strategies across functional, technical, and geographic domains, ensuring alignment with Day 1 and long-term business goals.
  • Architecture Design & Integration Services - Designed scalable, standalone system architectures for the new entity, enabling efficient operations and seamless business continuity post-separation.
  • ERP Delivery & Cutover Management - Led the ERP cloning and migration process, ensuring systems were production-ready by Day 1. This included managing parallel runs, testing, and user readiness across markets.
  • LATAM Tax & Supply Chain Transformation - Leveraging deep expertise in LATAM, we facilitated the transfer of ownership for a major manufacturing site in Brazil. This included a full redesign of the supply chain structure, legal entity setup, and tax compliance processes, ensuring alignment with regional regulations.
  • Day 1 Readiness - Delivered detailed execution plans and governance structures to ensure the new entity was operationally independent and legally compliant from the first day of trading.

The outcome

  • The consumer healthcare division was successfully carved out and launched as an independent company, meeting all regulatory and operational milestones on schedule. Helixr’s involvement ensured:
